About
Valeria specializes in providing comprehensive legal support for international and Russian mergers and acquisitions, venture capital investments, private equity transactions, as well as the formation and operation of joint ventures and corporate restructurings. Her professional background spans diverse industries, including the financial, technology, oil & gas, and industrial sectors, enabling Valeria to effectively advise both traditional large enterprises and fast-growing tech companies.
Valeria's jurisdictional expertise encompasses a wide range of jurisdictions, such as Singapore, the UK, the BVI, the Cayman Islands, the EU (Cyprus, Luxembourg), the Middle East (Saudi Arabia, UAE), and the CIS (Uzbekistan).
In addition, Valeria advises Russian and international clients on various corporate law and governance matters, including the design and implementation of management and employee incentive programs. Valeria is a regular speaker at internal and external seminars, professional conferences, and BIRCH events, sharing her expertise on various aspects of corporate transactions and venture capital investments.
Experience
- advising a Russian investor on the acquisition of a stake in a major Russian gold mining company, including the drafting of transaction documents to effect the transaction and govern corporate relations, as well as a full suite of security documentation
- providing legal support for the sale of Yandex’s telemedicine business, which operates under the Yandex Health brand and helps doctors conduct online consultations with users
- advising a Russian oil & gas technology leader (a top-3 Russian oil producer) on the acquisition of petrol station networks across various Russian regions, including legal due diligence and the drafting of transaction documents
- advising Russia’s largest vertically integrated infrastructure holding, combining assets in export logistics and grain trading, on the acquisition of a rolling stock fleet
- advising on a complex transaction involving the disposal of a stake in a specialized developer and the formation of a joint venture with a major development group for the large-scale redevelopment of a sizeable area of Moscow’s city center
- advising a major logistics group on a comprehensive corporate restructuring to redomicile its holding company from Singapore. The project included developing an optimal restructuring roadmap with a focus on tax and legal implications, drafting corporate agreements, and implementing an equity incentive plan (ESOP) based on a Russian non-public joint-stock company
